Beta Program Agreement
This Beta Services Agreement (“Agreement”) is between RAIDS AI Ltd (“Company”) and the entity accepting these terms (“Client”). This Agreement takes effect on the earlier of (i) Client’s click-acceptance or (ii) Client’s first access to any Beta Feature (“Effective Date”).
This Agreement governs Beta Features. Where Client also uses generally available Services, the Company’s Terms of Service govern those Services.
Definitions
“Beta Features and Services” mean features, components, products, APIs, dashboards, or services of the RAIDS Platform offered by the Company in alpha, beta, preview, experimental, or other pre-release forms. Beta Features and Services are provided for testing and evaluation only and are not part of the Generally Available Services.
“Generally Available Services” means RAIDS products or services officially released for commercial use, documented and supported by the Company.
“Client Data” means Input, Output, and any other data processed through the Client’s account under this Agreement.
“Testing Period” means the period during which Client has access to the Beta Features and Services, as determined in the Company’s discretion.
Access, use and purpose
- Subject to this Agreement, the Company grants Client a non-exclusive, non-transferable, revocable, limited licence to access and use the Beta Features and Services solely for testing, evaluation, and feedback during the Testing Period. Beta Features are provided without charge and constitute non-commercial “Free Software.”
- Any individual enabling or accepting Beta Features represents that they are authorised to bind Client to this Agreement. If not authorised, such individual and Client must immediately disable Beta Features.
- This Agreement supplements the Company’s Terms of Service, which are incorporated by reference. In the event of conflict, this Agreement governs Beta Features and Services only.
- Use of the Beta Features and Services is voluntary and at Client’s sole discretion. By participating, Client authorises the Company to process Client Data as necessary to deliver, operate, troubleshoot, and improve the Beta Features and Services in accordance with the RAIDS Privacy Policy and applicable Data Processing Agreement, where they include Personal Data.
- Beta Features and Services are provided for internal evaluation only and must not be used in production environments, for safety-critical purposes, or to process sensitive or special categories of personal data unless expressly authorised in writing.
- The Company retains sole discretion to determine the scope, functionality, and duration of any Beta Features and may modify, suspend, or discontinue it at any time without notice or liability.
- The Company has no obligation to make any Beta Features commercially available or maintain it in any form. Continued use after a Beta Feature becomes Generally Available requires execution of a commercial agreement.
- Client must promptly cease using the Beta Features and Services and destroy all copies of the Beta Features if the Company requests it to do so.
Feedback
- Clients are encouraged to provide feedback, suggestions, comments, or enhancement ideas (“Feedback”) regarding the Beta Features and Services.
- All Feedback is the sole property of the Company. Client hereby irrevocably assigns all rights, title, and interest in the Feedback to the Company, or where assignment is not possible, grants a perpetual, royalty-free, worldwide licence to use, reproduce, disclose, and exploit the Feedback without restriction or compensation.
- Any improvement, derivative work, or feature developed using Feedback shall remain the exclusive property of the Company.
Data Ownership and Use
- As between the parties, Client retains ownership of its Input and Client Data, subject to the licence in Clause 4.2. The Company retains ownership of all Output, Software, Beta Features, algorithms, models, templates, report formats, dashboards, and other underlying technology.
- Client grants the Company a non-exclusive, worldwide, royalty-free licence to process Input and Client Data as necessary to:
- deliver the Beta Features and Services;
- generate aggregated or de-identified statistical information (“Statistical Information”); and
- operate, maintain, and improve the Company’s models, infrastructure, technology, and analytical algorithms.
- Client is solely responsible for safeguarding its data, verifying Output accuracy, and ensuring back-ups. The Company is not liable for any corruption, loss, or inaccuracies in Client Data or Output.
- The Company will not use Client Data to train third-party generative AI models but may use Input, Output, and Client Data to train and improve its own AI Monitoring System and models.
- All non-public information relating to the Beta Features and Services, including performance, results, and related materials, is Company Confidential Information. Client must not disclose, publish, or benchmark any Beta Features or results without prior written consent. For the avoidance of doubt, the confidentiality obligations under the Terms of Service apply.
Performance and Warranties
- Client acknowledges that Beta Features and Services may be incomplete, inoperable, contain errors, or change frequently.
- The Beta Features and Services are provided “as is” and “as available” without warranties of any kind.
- The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, and quiet enjoyment.
- The Company makes no commitments regarding availability, support, uptime, or error correction and has no obligation to provide maintenance, updates, or bug fixes.
- Client must safeguard important data and not rely on the correct functioning or accuracy of Beta Features.
Limitation of Liability
To the maximum extent permitted by law:
- the Company shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of data, profits, revenue, business, or goodwill, even if advised of the possibility of such damages; and
- the Company’s total aggregate liability arising out of or related to the Beta Features and Services shall not exceed EUR €100.
- These limitations apply notwithstanding any failure of essential purpose of any limited remedy.
- The Company provides no indemnity for claims arising from or related to the Beta Features or Output. The Company has no obligation to defend, indemnify, or hold harmless the Client for claims arising from or related to the Beta Features and Services.
- The Company shall not be liable for any misappropriation, infringement, dilution, or other violation of third-party intellectual property rights arising from or in connection with Client’s use of Beta Features, including any Output generated.
Termination
- Either party may terminate this Agreement at any time, with or without cause, upon written notice (including email).
- The Company may terminate or suspend access to the Beta Features and Services immediately upon notice if it determines continued use could adversely affect the Company, other clients, or compliance with law.
- Upon termination or expiry, all licences under this Agreement immediately terminate, and Client must cease all use of the Beta Features and Services. The Company may delete or make inaccessible any Client Data or Output processed within the Beta Features and Services at the end of the Testing Period.
- Clauses 3 (Feedback), 4 (Data Ownership and Use), 5 (Disclaimer), 6 (Liability), 7 (Termination), and 8 (Miscellaneous) survive termination or expiry.
Miscellaneous
- The parties acknowledge acceptance of these terms upon enabling or accessing any RAIDS Beta Feature or Service.
- Neither party may assign or transfer this Agreement without the other’s prior written consent, except that the Company may assign to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
- Each party shall comply with all applicable laws, including export control and economic sanctions regulations. The Company may suspend or terminate access to the Beta Features and Services as necessary to comply with law.
- This Agreement is governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.
